Common use of Letters of Accountants Clause in Contracts

Letters of Accountants. (a) Parent shall use reasonable best efforts to cause to be delivered to the Company two “comfort” letters of Xxxxx Xxxxxx Company LLP, Parent’s independent registered public accounting firm, one dated approximately the date on which the Form S-4 shall become effective and one dated the Closing Date, each addressed to the Company and Parent, in form reasonably satisfactory to the Company and customary in scope and substance for “comfort” letters delivered by independent registered public accounting firms in connection with registration statements similar to the Form S-4. (b) The Company shall use reasonable best efforts to cause to be delivered to Parent two “comfort” letters of BDO Xxxxxxx, LLP, the Company’s independent registered public accounting firm, one dated approximately the date on which the Form S-4 shall become effective and one dated the Closing Date, each addressed to Parent and the Company, in form reasonably satisfactory to Parent and customary in scope and substance for “comfort” letters delivered by independent registered public accounting firms in connection with registration statements similar to the Form S-4.

(a) Parent shall use its reasonable best efforts to cause to be delivered to the Company two “comfort” letters of Xxxxx Xxxxxx Company Ernst & Young LLP, Parent’s independent registered public accounting firmaccountants, one dated approximately and delivered the date on which the Form S-4 Registration Statement shall become effective and one dated as of the Closing Datedate of the Stockholders’ Meetings, each and addressed to the Company and ParentCompany, in form and substance reasonably satisfactory to the Company and reasonably customary in scope and substance for “comfort” letters delivered by independent registered public accounting firms accountants in connection with registration statements similar to the Form S-4transactions such as those contemplated by this Agreement. (b) The Company shall use its reasonable best efforts to cause to be delivered to Parent two “comfort” letters of BDO Xxxxxxx, PricewaterhouseCoopers LLP, the Company’s independent registered public accounting firmaccountants, one dated approximately and delivered the date on which the Form S-4 Registration Statement shall become effective and one dated as of the Closing Datedate of the Stockholders’ Meetings, each and addressed to Parent and the CompanyParent, in form and substance reasonably satisfactory to Parent and reasonably customary in scope and substance for “comfort” letters delivered by independent registered public accounting firms accountants in connection with registration statements similar to the Form S-4transactions such as those contemplated by this Agreement.

Letters of Accountants. (a) Parent The Company shall use commercially reasonable best efforts to cause to be delivered to the Company two “Board of Directors of Parent "comfort” " letters of Xxxxx Xxxxxx Company Ernst & Young LLP, Parent’s the Company's independent registered public accounting firmaccountants, one dated approximately the effective date on which of the Form S-4 shall become effective F-4 and one dated the Closing Date, each respectively, and addressed to the Company and its directors and Parent and its directors, in form reasonably satisfactory to Parent and customary in scope and substance for "comfort" letters delivered by independent public accountants in connection with registration statements similar to the Form F-4. (b) Parent shall use commercially reasonable efforts to cause to be delivered to the Board of Directors of the Company "comfort" letters of Deloitte & Touche LLP, Parent's independent public accountants, dated the effective date of the Form F-4 and the Closing Date, respectively, and addressed to Parent and its directors and the Company and its directors, in form reasonably satisfactory to the Company and customary in scope and substance for “"comfort” " letters delivered by independent registered public accounting firms accountants in connection with registration statements similar to the Form S-4F-4. (b) The Company shall use reasonable best efforts to cause to be delivered to Parent two “comfort” letters of BDO Xxxxxxx, LLP, the Company’s independent registered public accounting firm, one dated approximately the date on which the Form S-4 shall become effective and one dated the Closing Date, each addressed to Parent and the Company, in form reasonably satisfactory to Parent and customary in scope and substance for “comfort” letters delivered by independent registered public accounting firms in connection with registration statements similar to the Form S-4.

Letters of Accountants. (a) The Company shall use its best efforts to cause to be delivered to Parent "cold comfort" letters of Xxxxxx Xxxxxxxx, LLP, its independent public accountant, dated the date on which the Registration Statement shall become effective and as of the Effective Time, respectively, and addressed to Parent, in form and substance reasonably satisfactory to Parent and reasonably customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the Registration Statement and transactions such as those contemplated by this Agreement. (b) Parent shall use reasonable its best efforts to cause to be delivered to the Company two “"cold comfort” " letters of Xxxxx Xxxxxx Company LLPCoopers & Xxxxxxx, Parent’s L.L.P., its independent registered public accounting firmaccountant, one dated approximately the date on which the Form S-4 Registration Statement shall become effective and one dated as of the Closing DateEffective Time, each respectively, and addressed to the Company and ParentCompany, in form and substance reasonably satisfactory to the Company and reasonably customary in scope and substance for “comfort” letters delivered by independent registered public accounting firms accountants in connection with registration statements similar to the Form S-4Registration Statement and transactions such as those contemplated by this Agreement.
