Common use of Letters of Accountants Clause in Contracts

Letters of Accountants. (a) The Company shall use commercially reasonable efforts to cause to be delivered to IHK a "comfort" letter of Price Waterhouse LLP or Xxxxxx Xxxxxxxx LLP, the Company's independent public accountants, dated and delivered the date on which the Registration Statement shall become effective and addressed to IHK, in the form, scope and content contemplated by Statement on Auditing Standards No. 72, as amended issued by the American Institute of Certified Public Accountants, Inc. ("SAS 72"), relating to the financial statements and other financial data with respect to the Company and its consolidated subsidiaries included or incorporated by reference in the Proxy Statement and such other matters as may be reasonably required by IHK, and based upon procedures carried out to a specified date not earlier than five days prior to the date thereof.

("SAS 72"), relating to the financial statements and other financial data with respect to the Company and its consolidated subsidiaries included or incorporated by reference in the Proxy Statement and such other matters as may be reasonably required by IHKNewco, and based upon procedures carried out to a specified date not earlier than five days prior to the date thereof.
