Common use of Letters of Accountants Clause in Contracts

Letters of Accountants. (a) The Company shall use its reasonable best efforts to cause to be delivered to the Parent "comfort" letters of KPMG LLP ("KPMG"), the Company's independent public accountants, dated and delivered on each applicable Registration Statement Effective Date and as of the Effective Time, and addressed to the Parent in form and substance reasonably satisfactory to the Parent and reasonably customary in scope and substance for letters delivered by independent public accountants in connection with transactions contemplated hereby. (b) The Parent shall use its reasonable best efforts to cause to be delivered to the Company "comfort" letters of KPMG, the Parent's independent public accountants, dated and delivered on each applicable Registration Statement Effective Date and as of the Effective Time, and addressed to the Company, in form and substance reasonably satisfactory to the Company and reasonably customary in scope and substance for letters delivered by independent public accountants in connection with transactions contemplated hereby.
