Lexicon Development Activities. Without limiting the generality of Section 4.7(c)(i), the Parties, through the Joint Project Team, may agree that certain activities related to the development and seeking of Regulatory Approval of Genentech IND Opted Products and Genentech Phase II Opted Products be performed by Lexicon, provided, however, that no such activities shall be allocated to Lexicon without the prior consent of Lexicon. Lexicon shall perform all activities allocated to Lexicon hereunder with commercially reasonable efforts and in compliance with all Applicable Laws.
