Common use of Liabilities Deficiency Clause in Contracts

Liabilities Deficiency. If all such Final Financial Information is not delivered to Buyer within such sixty (60) day period following Closing, Seller and Shareholders shall be liable to Buyer in an amount equal to $500.00 for each day after such sixty (60) day period until all such Final Financial Information is delivered to Buyer, and such liability shall constitute a Liabilities Deficiency under the provisions of paragraph 5, above.
