Common use of Liabilities of the Purchasers Clause in Contracts

Liabilities of the Purchasers. The obligations of each Purchaser under this Agreement are solely the corporate obligations of such Purchaser. No recourse shall be had for any obligation or claim arising out of or based upon this Agreement against any stockholder, employee, officer, director or incorporator of any Purchaser; and PROVIDED, HOWEVER, that this SECTION 6.13 shall not relieve any such Person of any liability it might otherwise have for its own gross negligence or willful misconduct. The agreements provided in this SECTION 6.13 shall survive termination of this Agreement.
