Liabilities and obligations to suppliers or other third parties for materials and services, to the extent relating to the Business and to the extent the applicable materials and services will be received or performed for the benefit of Buyer after the Applicable Closing, ordered in the ordinary course of business consistent with past practice on or prior to the Applicable Closing;
