Common use of Liability After Assignment Clause in Contracts

Liability After Assignment. A Party’s assignment or transfer of rights or obligations pursuant to this Section 13.13 (other than Section 13.13.3) shall relieve said Party from any liability and financial responsibility for the performance thereof arising after any such transfer or assignment, provided such transferee enters into an assignment and assumption agreement, in form and substance satisfactory to the other Party, pursuant to which such transferee assumes all of the assigning or transferring Party’s obligations hereunder and otherwise agrees to be bound by the terms of this Agreement.

A Party’s 's assignment or transfer of rights or obligations pursuant to this Section 13.13 Article 22 (other than Section 13.13.322.2) of this Agreement shall relieve said Party from any liability and financial responsibility for the performance thereof arising after any such transfer or assignment, provided such transferee enters into an assignment and assumption agreement, in form and substance satisfactory to the other Party, pursuant to which such transferee assumes all of the assigning or transferring Party’s 's obligations hereunder and otherwise agrees to be bound by the terms of this Agreement.
