Common use of Liability for Brokers’ Fees Clause in Contracts

Liability for Brokers’ Fees. Neither Purchaser nor any member of the Company Group shall directly or indirectly have any responsibility, liability or expense, as a result of undertakings or agreements of Seller or any Affiliate of Seller, in each case, for Transaction Expenses, brokerage fees, finder’s fees, agent’s commissions or other similar forms of compensation in connection with this Agreement or any agreement or transaction contemplated hereby.

Liability for Brokers’ Fees. Neither the Acquired Companies nor Purchaser nor any member of the Company Group shall directly or indirectly have any responsibility, liability or expense, as a result of undertakings or agreements of Seller or any Affiliate of Seller, in each casean Acquired Company, for Transaction Expenses, brokerage fees, finder’s fees, fees or agent’s commissions or other similar forms of compensation in connection with this Agreement or any agreement or transaction contemplated hereby.

Neither Purchaser nor any member of the Company Group nor its Subsidiaries have incurred any liability, contingent or otherwise, for brokers’ or finders’ fees relating to the transactions contemplated by this Agreement for which the Purchaser or the Entities shall directly or indirectly have any responsibility, liability or expense, as a result of undertakings or agreements of Seller or any Affiliate of Seller, in each case, for Transaction Expenses, brokerage fees, finder’s fees, agent’s commissions or other similar forms of compensation in connection with this Agreement or any agreement or transaction contemplated hereby.
