Liability for Certain Acts. No Member has guaranteed nor shall any Member have any obligation with respect to the return of a Member’s Capital Contributions or profits from the operation of the Company. Notwithstanding Section 6.01, O.C.G.A. §14-11-305(1), or any contrary rule of law or equity, no Member shall be liable to the Company or to any Member for any loss or damage sustained by the Company or any Member except loss or damage resulting from intentional misconduct or knowing violation of law or a transaction for which such Member received a personal benefit in violation or breach of the provisions of this Agreement. Notwithstanding the preceding sentence, each Member shall be entitled to rely on information, opinions, reports or statements, including but not limited to financial statements or other financial data prepared or presented in accordance with the provisions of O.C.G.A. §14- 11-305.
