Liability for Failure to Deliver Mortgage Files. The Servicer shall have no liability for any failure to carry out its servicing responsibilities hereunder which is directly caused by the failure of a prior owner of the related Mortgage Loans to deliver to the Servicer the Mortgage Files (or portions thereof) necessary to service such Mortgage Loans in material compliance with the Customary Servicing Procedures or this Agreement.
