Common use of LIABILITY FOR REMOVAL Clause in Contracts

LIABILITY FOR REMOVAL. Any Member substituting or removing a Director using its rights under this clause 4 is responsible for and holds harmless the other Members and the Company from and against: (a) any claim for unfair or wrongful dismissal arising out of the substitution or removal; and (b) any reasonable costs and expenses incurred in defending any proceedings, including, but without limiting this, legal costs on a solicitor and own client basis.
