Liability of a Member for Good Faith Acts. No Member, including without limitation the Managing Member, shall be liable, responsible or accountable in damages or otherwise to any Member for any act or omission performed or omitted by it in good faith on behalf of the Company and in a manner reasonably believed by such Member to be within the scope of authority granted to it by this Agreement and in the best interest of the Company and the Members, unless such act or omission shall constitute negligence, willful misconduct or a breach of fiduciary duty to the Members.

  • Liability of a Member The liability of each Member shall be limited as provided in the Delaware Act and as set forth in this Agreement. No Member shall be obligated to restore by way of Capital Contribution or otherwise any deficits in its Capital Account (if such deficits occur).
