Common use of Liability of Escrow Agent Clause in Contracts

Liability of Escrow Agent. (a) The Escrow Agent shall not be liable for any loss resulting from any investment, sale, transfer or other disposition made pursuant to this Agreement in compliance with the provisions hereof. The Escrow Agent shall have no lien whatsoever on any of the money or Escrowed Securities on deposit in the Escrow Fund for the payment of fees and expenses for services rendered by the Escrow Agent under this Agreement or otherwise.

Liability of Escrow Agent. (a) The Escrow Agent Agent, in its capacity as escrow agent under this Agreement, shall not be liable have any liability for any loss resulting from sustained as a result of any investment, sale, transfer or other disposition investment made pursuant to this Agreement in compliance with the provisions hereof. The Escrow Agent shall have no lien whatsoever on any of the money or Escrowed Securities on deposit in the Escrow Fund for the payment of fees and expenses for services rendered by the Escrow Agent under in accordance with this Agreement Agreement, in accordance with applicable laws, rules and regulations, pursuant to the direction of the General Partner or otherwiseas a result of any liquidation of any investment prior to its maturity. Any such investment of Escrow Account shall be made in compliance with Rule 15c2-4 of the Exchange Act.
