Common use of Liability of Financing Sources Clause in Contracts

Liability of Financing Sources. Notwithstanding anything to the contrary contained herein, the Company agrees that neither it, nor any of its Subsidiaries, Affiliates, stockholders (other than Parent and Merger Sub) and their respective Representatives will have any rights or claims against any of the Financing Sources (in their capacity as such) in connection with this Agreement, the Transactions, the Financing or the transactions contemplated thereby, whether at law or in equity, in Contract, tort or otherwise.

Liability of Financing Sources. Notwithstanding anything to the contrary contained herein, the Company agrees that neither it, nor any of it and its Subsidiaries, Affiliates, stockholders (other than Parent and Merger Sub) and their respective Representatives controlled Affiliates will not have any rights or claims against any of the Financing Sources Source (in their its capacity as such) in connection with this Agreement, the Transactions, the Financing or the transactions contemplated hereby or thereby, whether at law or in equity, in Contract, tort or otherwise.

Notwithstanding anything to the contrary contained herein, the Company (on behalf of the Company and the Company Subsidiaries) agrees that neither it, it nor any of its Subsidiaries, Affiliates, the Company Subsidiaries or stockholders of the Company (other than Parent and or Merger Sub) and their respective Representatives will shall have any rights or claims against any of the Financing Sources (in their capacity as such) Lender in connection with this Agreement, the Transactions, the Debt Financing or the transactions contemplated hereby or thereby, whether at law Law or in equity, in Contractcontract, in tort or otherwise.
