Common use of Liability of General Partner Clause in Contracts

Liability of General Partner. (i) Neither the General Partner nor its directors, officers, employees, agents, or representatives shall be liable to the Partnership or any Limited Partner for errors in judgment or for any acts or omissions that do not constitute gross negligence or willful or wanton misconduct. (ii) The General Partner may exercise any of the powers granted to it by this Agreement and perform any of the duties imposed upon it hereunder either directly or by or through its directors, officers, employees, agents, or representatives, and the General Partner shall not be responsible for any misconduct or negligence on the part of any agent or representative appointed by the General Partner.

Liability of General Partner. (i) Neither the General Partner nor its directors, officers, employees, agents, or representatives shall be liable indemnified with respect to the Partnership their own fraud, negligence, misconduct or any Limited Partner for errors in judgment or for any acts or omissions that do not constitute gross negligence or willful or wanton misconductknowing violation of law. (ii) The General Partner may exercise any of the powers granted to it by this Agreement and perform any of the duties imposed upon it hereunder either directly or by or through its directors, officers, employees, agents, or representatives, and shall exercise reasonable care in the appointment of any such Persons for such purposes. The General Partner shall not be responsible for any misconduct or negligence on the part of any agent or representative appointed by the General Partner.

Liability of General Partner. (ia) Neither the General Partner nor its directors, officers, employees, agents, or representatives shall be liable to the Partnership or any Limited Partner for errors in judgment or for any acts or omissions that do not constitute negligence, gross negligence or negligence, fraud, willful or wanton misconductmisconduct or breach of this Agreement. (iib) The General Partner may exercise any of the powers granted to it by this Agreement and perform any of the duties imposed upon it hereunder either directly or by or through its directors, officers, employees, agents, or representatives, and the General Partner shall not be responsible for any misconduct or negligence on the part of any agent or representative appointed by the General Partner.

Liability of General Partner. (ia) Neither the General Partner nor its partners or stockholders, directors, officers, employees, agents, employees or representatives agents shall be liable to any of them or to Persons who have acquired interests in the Partnership LP Units, whether as Limited Partners, Assignees or any Limited Partner otherwise, for errors in judgment or for any acts or omissions that do not constitute gross negligence or willful or wanton misconduct. (iib) The General Partner may exercise any of the powers granted to it by this Agreement and perform any of the duties imposed upon it hereunder either directly or by or through its directors, officers, employees, agents, or representatives, and the General Partner shall not be responsible for any misconduct or negligence on the part of any such agent or representative appointed by the General PartnerPartner with due care.
