Liability of Manager to the Other Members. The Manager, its directors, officers, shareholders, representatives, employees and agents shall not be liable to the Company or to the other Members for losses sustained or liabilities incurred as a result of any good faith error in judgment or mistake of law or fact, or for any act done or omitted to be done in good faith in conducting the Company's business, unless such error, mistake, act or omission was performed or omitted fraudulently, or constituted willful misconduct or a breach of this Agreement. This provision is not for the benefit of any third party.
