Common use of Liability of Members and Managers Clause in Contracts

Liability of Members and Managers. (a) A Member shall only be liable to make the payment of the Member’s initial Capital Contribution pursuant to Section 3.1 and the additional Capital Contributions, if any, required by Section 3.2 hereof. No Member or Manager shall be liable for any obligations of the Company or any other Member or Manager, unless personally guaranteed by the Member or Manager pursuant to a separate document.

Liability of Members and Managers. (a) A No Member shall only be liable obligated to make any contribution to the payment capital of the Member’s initial Capital Contribution pursuant to Company other than as provided by Article 3 or Section 3.1 and the additional Capital Contributions, if any, required by Section 3.2 5.1(c) hereof. No Member or Manager (including a Person having more than one such capacity) shall be liable to third parties for any debts, obligations or liabilities of the Company or any other of each other, whether arising in tort, contract or otherwise, solely by reason of being a Member or Manager, unless personally guaranteed by or acting (or omitting to act) in such capacity, or participating (as an employee, consultant, contractor or otherwise) in the Member or Manager pursuant to a separate documentconduct of the business of the Company.
