Common use of Liability of the Member and Its Affiliates Clause in Contracts

Liability of the Member and Its Affiliates. Except as otherwise provided by applicable law, the debts, obligations and liabilities of the LLC, whether arising in contract, tort or otherwise, shall be solely the debts, obligations and liabilities of the LLC. Neither the Member, the Managing Member nor any affiliate of the Member or the Managing Member shall be obligated personally for any such debt, obligation or liability of the LLC solely by reason of being the Member or an affiliate of the Member.
