Liability on or before Novation Date of Consenting Party. The Consenting Party is liable to the Outgoing Party in respect of any Claim, damage, loss, cost, charge, expense, outgoing or payment which the Outgoing Party pays, suffers, incurs or is liable for in respect of the Contract, which occurred, or which arises out of or is caused by any act or omission by the Consenting Party which occurred on or before the Novation Date.
