LIBOR Lending Unlawful. In the event that any change in applicable laws or regulations (including the introduction of any new applicable law or regulation) or in the interpretation thereof (whether or not having the force of law) by any governmental or other regulatory authority charged with the administration thereof, shall make it unlawful for any of the Lenders to make or continue to maintain its Pro Rata Share of all or any portion of the Loans as Libor Loans, each such Lender shall promptly notify the Agent by telephone or telex thereof, and of the reasons therefor, and the obligation of such Lender to make or maintain its Pro Rata Share of the Loans or such portion thereof as Libor Loans shall, upon the happening of such event, terminate and the Agent shall, by telephonic notice to the Borrower, declare that such obligation has so terminated with respect to such Lender, and such Pro Rata Share of the Loans or any portion thereof to the extent then maintained as Libor Loans, shall, on the last day on which such Lender can lawfully continue to maintain such Pro Rata Share of the Loans or any portion thereof as Libor Loans, automatically convert into Prime Rate Loans without additional cost to the Borrower. If circumstances subsequently change so that such Lender shall no longer be so affected, such Lender's obligation to make or maintain its Pro Rata Share of all or any portion of the Loans as Libor Loans shall be reinstated when such Lender obtains actual knowledge of such change of circumstances, and promptly after obtaining such actual knowledge such Lender shall forward written notice thereof to the Agent. After receipt of such notice, the Agent shall promptly forward written notice thereof the Borrower. Upon or after receipt by the Borrower of such written notice, the Borrower may submit an Interest Rate Election in accordance with this Agreement electing an Interest Period ending no later than the Interest Adjustment Date for the then current Interest Period for the other Lenders' Pro Rata Shares of Libor Loans and electing the Libor Rate for such Lenders' or Lender's Pro Rata Share(s) of the Loans as to which such Lender's or Lenders' obligation(s) to make or maintain its or their Pro Rata Share(s) of the Loans as Libor Loans was suspended and such Pro Rata Share(s) shall be converted to Libor Loans in accordance with this Agreement. LIBOR Lending Unlawful. In Notwithstanding any other provision herein, if the event that adoption of or any change in applicable laws or regulations (including the introduction any Requirement of any new applicable law or regulation) Law or in the interpretation or application thereof (whether or not having occurring after the force of law) by any governmental or other regulatory authority charged with the administration thereof, Closing Date shall make it unlawful for any of Financing Party to make, continue or maintain LIBOR Loans or LIBOR Holder Advances as contemplated by the Lenders to make or continue to maintain its Pro Rata Share of all or any portion of the Loans as Libor LoansOperative Agreements, each (a) such Lender Financing Party shall promptly notify give written notice of such circumstances to the Lessee, the Lessor and the Agent by telephone or telex thereof(which notice shall be withdrawn whenever such circumstances no longer exist), and of (b) such Financing Party shall undertake reasonable efforts to propose a money rate comparable to LIBOR (the reasons therefor"LIBOR Alternative"), and (c) the obligation commitment of such Lender or Holder, as the case may be, hereunder to make, continue or maintain LIBOR Loans or LIBOR Holder Advances shall forthwith be canceled and, until such time as it shall no longer be unlawful for such Financing Party to make, continue or maintain LIBOR Loans or LIBOR Holder Advances, such Financing Party shall then have a commitment only to make or maintain its Pro Rata Share Loans or the Holder Advances based on ABR or the LIBOR Alternative, if any, when a LIBOR Loan or LIBOR Holder Advance is requested and (d) such Financing Party's Loans and Holder Advances then outstanding as LIBOR Loans or LIBOR Holder Advances, if any, shall be converted automatically to Loans or Holder Advances based on ABR or the LIBOR Alternative, if any, on the respective last days of the Loans or such portion thereof as Libor Loans shall, upon the happening of such event, terminate and the Agent shall, by telephonic notice to the Borrower, declare that such obligation has so terminated then current Interest Periods with respect to such Lender, Loans and Holder Advances or within such Pro Rata Share earlier period as required by law. If any such conversion of the LIBOR Loans or any portion thereof to the extent then maintained as Libor Loans, shall, LIBOR Holder Advances occurs on a day which is not the last day on which such Lender can lawfully continue to maintain such Pro Rata Share of the Loans or any portion thereof as Libor Loans, automatically convert into Prime Rate Loans without additional cost to the Borrower. Upon or after receipt by the Borrower of such written notice, the Borrower may submit an Interest Rate Election in accordance with this Agreement electing an Interest Period ending no later than the Interest Adjustment Date for the then current Interest Period for Periods with respect thereto or sooner, if required by such law or assertion, and (ii) all Loans thereafter to be made by such Lender and outstanding prior to the other Lenders' Pro Rata Shares of Libor Loans and electing the Libor Rate for such Lenders' or Lender's Pro Rata Share(s) of the Loans as to which such Lender's or Lenders' obligation(s) to make or maintain its or their Pro Rata Share(s) of the Loans as Libor Loans was suspended and such Pro Rata Share(s) Reinstatement Date shall be converted to Libor Loans in accordance with this Agreement. During any period throughout which any of the Lenders has or have no obligation to make or maintain its or their Pro Rata Share(s) of the Loans made as Libor Base Rate Loans, no Interest Rate Elections electing with interest thereon being payable on the Libor Rate shall be effective same date that interest is payable with regard respect to the corresponding Borrowing of LIBOR Loans to the extent of the Pro Rata Share(s) of such Lender(s), but shall be effective as to the other Lendersmade by Lenders not so affected.

In Notwithstanding any other provision herein, if the event that adoption of or any change in applicable laws or regulations (including the introduction any Requirement of any new applicable law or regulation) Law or in the interpretation or application thereof (whether or not having occurring after the force of law) by any governmental or other regulatory authority charged with the administration thereof, Closing Date shall make it unlawful for any of Financing Party to make, continue or maintain LIBOR Loans or LIBOR Holder Advances as contemplated by the Lenders to make or continue to maintain its Pro Rata Share of all or any portion of the Loans as Libor LoansOperative Agreements, each (a) such Lender Financing Party shall promptly notify give written notice of such circumstances to the Lessee, the Lessor and the Agent by telephone or telex thereof(which notice shall be withdrawn whenever such circumstances no longer exist), and of (b) such Financing Party shall undertake reasonable efforts to propose a money rate comparable to LIBOR (the reasons therefor"LIBOR Alternative"), and (c) the obligation commitment of such Lender or Holder, as the case may be, hereunder to make, continue or maintain LIBOR Loans or LIBOR Holder Advances shall forthwith be canceled and, until such time as it shall no longer be unlawful for such Financing Party to make, continue or maintain LIBOR Loans or LIBOR Holder Advances, such Financing Party shall then have a commitment only to make or maintain its Pro Rata Share Loans or the Holder Advances based on ABR or the LIBOR Alternative, if any, when a LIBOR Loan or LIBOR Holder Advance is requested and (d) such Financing Party's Loans and Holder Advances then outstanding as LIBOR Loans or LIBOR Holder Advances, if any, shall be converted automatically to Loans or Holder Advances based on ABR or the LIBOR Alternative, if any, on the respective last days of the Loans or such portion thereof as Libor Loans shall, upon the happening of such event, terminate and the Agent shall, by telephonic notice to the Borrower, declare that such obligation has so terminated then current Interest Periods with respect to such Lender, Loans and Holder Advances or within such Pro Rata Share earlier period as required by law. If any such conversion of the LIBOR Loans or any portion thereof to the extent then maintained as Libor Loans, shall, LIBOR Holder Advances occurs on a day which is not the last day on which such Lender can lawfully continue to maintain such Pro Rata Share of the Loans or any portion thereof as Libor Loans, automatically convert into Prime Rate Loans without additional cost to the Borrower. If circumstances subsequently change so that such Lender shall no longer be so affected, such Lender's obligation to make or maintain its Pro Rata Share of all or any portion of the Loans as Libor Loans shall be reinstated when such Lender obtains actual knowledge of such change of circumstances, and promptly after obtaining such actual knowledge such Lender shall forward written notice thereof to the Agent. After receipt of such notice, the Agent shall promptly forward written notice thereof the Borrower. Upon or after receipt by the Borrower of such written notice, the Borrower may submit an Interest Rate Election in accordance with this Agreement electing an Interest Period ending no later than the Interest Adjustment Date for the then current Interest Period for with respect thereto, the other Lenders' Pro Rata Shares of Libor Loans Lessee shall pay to such Financing Party such amounts, if any, as may be required pursuant to Section 12.6. In any such case, interest and electing the Libor Rate for such Lenders' or Lender's Pro Rata Share(s) of the Loans as to which such Lender's or Lenders' obligation(s) to make or maintain its or their Pro Rata Share(s) of the Loans as Libor Loans was suspended and such Pro Rata Share(sprincipal (if any) shall be converted to Libor payable contemporaneously with the related LIBOR Loans in accordance with this Agreement. During any period throughout which any or LIBOR Holder Advances of the Lenders has or have no obligation to make or maintain its or their Pro Rata Share(s) of the Loans as Libor Loans, no Interest Rate Elections electing the Libor Rate shall be effective with regard to the Loans to the extent of the Pro Rata Share(s) of such Lender(s), but shall be effective as to the other LendersFinancing Parties.

Upon or after receipt by the Borrower of such written notice, the Borrower may submit an Interest Rate Election in accordance with this Agreement electing an Interest Period ending no later than the Interest Adjustment Date for the then current Interest Period for the other Lenders' Pro Rata Shares of Libor Loans and electing the Libor Rate for such Lenders' or Lender's Pro Rata Share(s) of the Loans as to which such Lender's or Lenders' obligation(s) to make or maintain its or their Pro Rata Share(s) of the Loans as Libor Loans was suspended and such Pro Rata Share(s) shall be converted to Libor Loans in accordance with this Agreement. During any period throughout which any of the Lenders has or have no obligation to make or maintain its or their Pro Rata Share(s) of the Loans as Libor Loans, (i) no Interest Rate Elections electing the Libor Rate shall be effective with regard to the Loans to the extent of the Pro Rata Share(s) of such Lender(s), but shall be effective as to the other Lenders and (ii) any of the Lenders which has or have no_obligation to make or maintain its or their Pro Rata Share(s) of the Loans as Libor Loans shall use reasonable efforts to make available to the Borrower an alternative index for establishing a fixed interest rate facility providing a yield to such Lenders equal to the Libor Rate, but only to the extent that any such Lenders, independently and without regard to this Agreement or the Libor Loans, are generally providing such alternative index to similarly situated customers of such Lenders in the ordinary course of such Lenders' business.
