Common use of Licence of Existing Material Clause in Contracts

Licence of Existing Material. This clause 39 does not affect the ownership of any Intellectual Property Rights in any Existing Material. The Provider, however, grants to the Department or must arrange for the grant to the Department of a permanent, irrevocable, free, world-wide, non-exclusive licence (including a right of sublicense) to use, reproduce, communicate, adapt and exploit the Intellectual Property Rights in Existing Material for any purpose as required by the Department. The Provider must not use the Commonwealth Coat of Arms for the purposes of this Agreement, except as authorised in accordance with the Use of the Commonwealth Coat of Arms General Guidelines available at xxxxx://xxx.xxx.xxx.xx/sites/default/files/resource/download/commonwealth-coat-of-arms-information-and-guidelines.pdf Unless otherwise set out in the Records Management Instructions, as between the Department and the Provider (but without affecting the position between the Provider and a third party) ownership of the physical Material constituting: Commonwealth Material; and Agreement Material, vests at all times in the Department.
