Licence to use Research Project IP. of the other party‌ If the Commercialising Party requires, for the purposes of Commercialisation of Research Project IP, a licence to use Research Project IP owned by the other party, the Commercialising Party must notify the other party and the party receiving such notice will negotiate in good faith to grant a licence to the Commercialising Party on reasonable terms to be agreed in writing by the parties.
