Common use of License by Recipient Clause in Contracts

License by Recipient. Notwithstanding anything to the contrary in the IP Cross License Agreement, Recipient hereby grants, and shall procure that its relevant Affiliates shall grant, to Supplier and its Affiliates a royalty-free, non-exclusive, non-transferable (except as set out in Section 10.5 of the Transition Services Agreement (which shall apply mutatis mutandis to this Agreement pursuant to Section 12.1)), non-sub-licensable (except to subcontractors permitted under this Agreement) license during the term of this Agreement to use the Intellectual Property Rights controlled by Recipient and its Affiliates only to the extent necessary for Supplier’s provision of the Contract Manufacturing Services and the Exit Support in accordance with this Agreement.
