License Conversion. Subject to You placing a valid purchase order for the same with a Partner, You may convert legacy Life of Device Licenses into Term Based Licenses, in which case, We will alter Your Entitlement to reflect the different usage model.
License Conversion. If the Exam Volume Program is identified on the Applicable Order as being a “License Conversion”, then by Company installing the Exam Volume Program obtained pursuant to such Applicable Order, Company’s rights to the Replaced Product terminates, except that if the Replaced Product was licensed to Company by a Nuance authorized reseller, then Company’s rights to the Exam Volume Program are subject to Company first terminating its license rights with respect to the Replaced Product. At the time of installation of the Exam Volume Program, Company shall un-install, and return to Nuance or destroy, all copies of the Replaced Product, which were the basis for Company’s eligibility for the License Conversion, and certify to Nuance, in writing, that Company has done so.
License Conversion. Following the expiration of the Royalty Term for a particular Collaboration Product in a given country, (a) the License with respect to such Collaboration Product in such country shall convert to fully paid-up, perpetual, irrevocable, and royalty-free license; and (b) the Net Sales of such Collaboration Product in such country shall thereafter be excluded for the purposes of calculating the Net Sales thresholds pursuant to Section 7.6 (Sales Milestone Payments) and Section 7.8 (Royalties). 7.9.
License Conversion. Upon the happening of one of the following trigger events, the object code software license will automatically become a source code license if we:
9.1.1 are insolvent (bankrupt), or has some legal disability, for example, if we are placed under administration;
9.1.2 take steps to de-register ourselves (close down) or is de-registered;
License Conversion. In the event VALNEVA provide SIIPL with a notice of termination due to a material breach of SIIPL of its obligations of this Agreement then VALNEVA may, due to the aforesaid breach, provide notice to SIIPL of its intent to convert the exclusive license granted hereunder to a non-exclusive license. If the Parties are in agreement, then the Parties agree to mutually discuss in good faith the terms, conditions and payment structure with respect to such non-exclusive license and the same will be duly recorded by the Parties in a separate agreement. VALNEVA shall have no obligation to enter into such a non-exclusive license agreement, and may, in its discretion, decide to terminate this Agreement pursuant to Section 17.2(a); and
License Conversion. In the event that KL undergoes a Covered Transaction or Change in Control without complying with the provisions of Section 10.1 above, the license rights granted in Section 2.1 shall automatically become perpetual and irrevocable without further action by either Party and such rights shall be fully-paid up as of the end of the Initial Term.
