LICENSE FEES AND PAYMENT TERMS. Licensee agrees to pay the applicable license fees for the Licensed Products within thirty (30) days of the date of invoice or such other date as agreed in writing by the parties. Software license fees are non-refundable, except as provided in Section 5 above, and shall be paid without any deduction or tax withholding. Software License fees are exclusive of any applicable transportation charges, sales, use, value added tax, and other applicable taxes and duties, and all such amounts shall be paid or reimbursed by Licensee. Licensee shall be liable for all outstanding past due amounts, which shall accrue interest at the rate of 1.5% per month compounded or, if lower, the maximum rate allowed by applicable law, and any collection costs associated with the collection of any past due amounts.
