License Grant to MacroGenics. Subject to the terms and conditions of this Agreement, Provention hereby grants back to MacroGenics a non-exclusive, fully-paid, royalty-free, non-transferable (except in accordance with Section 13.3), non-sublicensable sublicense, under the Provention License to use the Compound and Products in the Field in the Territory, solely to the extent necessary or useful for MacroGenics to exercise any of its rights and perform any of its obligations under this Agreement.
