License Maintenance Payments. 5.1.1. The LICENSEE shall pay to ASU an annual maintenance fee beginning at $[*] and increasing by annual increments of $[*] each year up to a maximum of $[*] per year. License Maintenance Payments. Notwithstanding Section 6.3 above, in the event that Organon fails to achieve any particular milestone above within the applicable cumulative time period specified in Section 6.3 for such milestone, Organon may maintain and extend its license on a target-by-target basis, with respect to the set of OUT Compounds active against the same molecular target, until the expiration of the next applicable cumulative time period specified in Section 6.3 above, by paying to Pharmacopeia [***] of the applicable milestone payment due pursuant to Section 7.2.2 on or before the expiration of the current cumulative time period. Such license maintenance payment shall be fully creditable against the milestone payment due upon actual accomplishment of such milestone. Such maintenance payments shall not affect the cumulative time period within which the next milestone must be completed.
License Maintenance Payments. In the event that DrawDown assigns this Agreement to a successor to that part of DrawDown’s business to which this license relates, such successor shall pay to DKL an annual minimum royalty payment of $100,000 for the first year following such assignment, $250,000 for the second year following such assignment and $500,000 per year for subsequent years.
