Common use of License to Jazz Clause in Contracts

License to Jazz. Pfenex hereby grants Jazz an exclusive (even as to Pfenex except as provided in Section 2.1(c) below), royalty-bearing and sublicenseable (subject to Section 2.1(d)) license, under the Pfenex IP to research, Develop, make, have made, use, sell, have sold, offer for sale, import, and otherwise Commercialize the HemOnc Products in the Field in the Territory. Notwithstanding anything to the contrary in this Agreement, all licenses granted to Jazz pursuant to this Agreement under the Production Techniques Patents shall be non-exclusive. Pfenex shall not grant a license under the Production Techniques Patents to any Third Parties to research, Develop, make, have made, use, sell, have sold, offer for sale, import, or otherwise Commercialize any HemOnc Product in the Field in the Territory.
