LICENSED PRODUCT DISCONTINUANCE AND RETURNS. CONFIDENTIAL a. If MS or its Suppliers determine that a Licensed Product should not be distributed in a market, Company shall immediately stop distributing upon written notice. b. Company shall defend, indemnify, and hold MS and its Suppliers harmless from and against all damages, costs and expenses, including reasonable attorneys’ fees, incurred due to Company’s continued distribution of Licensed Product after MS has notified Company to stop distributing the Licensed Product.
