Licensee Commitment. During the Term and for a period of two (2) years thereafter, Licensee and its Affiliates and Sublicensees will not research, develop or commercialize, or grant any third party the right to research, develop or commercialize, a product containing lenzilumab as an active ingredient (for the Licensed Indication or any other indication), other than the Licensed Product for the Licensed Indication during the Term pursuant to this Agreement.
Licensee Commitment. Licensee shall:
a) provide Licensor with the information required for the setup of the Software if requested by Licensor, review actions, make decisions and otherwise continue to provide the information requested by Licensor in order for Licensor to fulfil its obligations under the Terms and Conditions;
b) have a working internet connection, equipment and software required to be able to use the Software, and have access to the other services required to use the Software;
c) ensure that Licensee’s data is (i) free from viruses, trojans, worms or other harmful software or code, (ii) in an agreed format, and (iii) not, intentionally, going to otherwise damage or negatively affect the Licensor’s system or Software.
Licensee Commitment. Licensee will use commercially reasonable efforts to develop, manufacture and bring to market Core Products within [***]. Licensee will actively promote, market, and sell Core Products as they become commercially available.
Licensee Commitment. When using the Program, the Licensee shall comply with the user documentation and any instructions provided by Cedoc or made available on Cedoc's website or social media. Support measures caused by the Licensee not following the instructions given are not covered by ▇▇▇▇▇'s commitments and will be charged separately. Correspondingly, the Licensee will be charged separately if it is found during support as a result of a fault report that the Program is not defective.
Licensee Commitment. Licensee expects to be able to manufacture Licensed Devices in quantity on an ongoing basis. Licensee will use reasonable efforts to promote to the electronics industry the use of integrated circuits containing OPTi Technology as licensed hereunder.
Licensee Commitment. When using the Application the Licensee must follow the user manual and any instructions which have been submitted by ▇▇▇▇▇ or published at Cedoc’s webpage. Support actions which result from the Licensee not having followed the given instructions are not included in ▇▇▇▇▇’s commitment but will be charged separately. Correspondingly the Licensee will be charged if, upon notification of error, the Program is not marred by any shortcomings.
Licensee Commitment. The principles of Adaptive Management include agreed-upon measures to ensure resources are not expended on an open-ended process of change that is out of proportion with the specified goal. While this level of detail was not addressed in the MOU, in the development of this AMP measures were more specifically defined, resulting in a funding commitment on the part of the Licensee in the amount of $6 million for continuation of Adaptive Management actions after exhaustion of the WAF and AMP. In aggregate, the funding commitments will provide up to $12 million for Adaptive Management actions over the life of the Restoration Project. In the event of exhaustion of the WAF and AMF, Licensee acknowledges and agrees that it will pay up to a total of $6,000,000 for all Authorized Modifications to FERC Project No. 1121 facilities and/or flow operations which are determined to be necessary under Adaptive Management.56 No aspect of this commitment relieves the Licensee from legal responsibilities. Nothing in the AMP is intended to bind or prejudice the Resource Agencies, or otherwise limit their respective authorities, in the performance of their responsibilities under this AMP, the MOU, and other applicable federal and state laws.57 This commitment is intended to provide a readily available source of money to be used for possible future changes in the Restoration Project.58 This commitment shall be used only for Restoration Project purposes directly associated with FERC Project No. 1121 including compensation for prescribed instream flow release increases after the exhaustion or termination of the WAF and after the exhaustion or termination of the AMF.59 This commitment shall be administered pursuant to the AMP protocols and shall not be used to fund monitoring or construction cost overruns.60 Furthermore, this commitment may fund future purchases of additional instream flow releases in Battle Creek which may be recommended under the AMP.61
