Common use of Licensee Indemnification Clause in Contracts

Licensee Indemnification. Licensee shall defend, indemnify and hold ------------------------ harmless Verity and Verity Licensors from and against any claims by a Reseller, End User, or other party arising out of (i) Licensee's or a Reseller's failure to obtain a valid Sublicense Agreement or (ii) except as permitted by this Agreement, Licensee's making representations or warranties regarding the Software to End Users, Resellers or other third parties.
