Common use of Licensee Indemnification Clause in Contracts

Licensee Indemnification. Licensee shall indemnify, defend and hold harmless Licensor, and each of its directors, officers, employees and agents (the “Licensor Indemnitees”) from and against any and all Indemnifiable Losses (as defined in the Separation Agreement) incurred or suffered by any of the Licensor Indemnitees and arising out of, or due to, Licensee’s breach of this Agreement, or any representation, warranty, covenant or agreement hereunder.

Licensee Indemnification. Licensee shall indemnify, defend and hold harmless LicensorLicensor and its Subcontractors and affiliates, and each of its and their respective officers, directors, officersemployees, employees agents, Representatives, successors and agents assigns (the each, a “Licensor IndemniteesIndemnitee”) from and against any and all Indemnifiable Losses (as defined incurred by such Licensor Indemnitee in the Separation Agreement) incurred connection with any Action by a third party that arises out of or suffered relates to any: 1. Licensee Data, including any Processing of Licensee Data by any or on behalf of the Licensor Indemnitees and arising out of, or due to, Licensee’s breach of in accordance with this Agreement, or any representation, warranty, covenant or agreement hereunder.;

Licensee Indemnification. Licensee shall indemnify, defend defend, and hold harmless LicensorLicensor and its officers, directors, employees, agents, successors, and each of its directorsassigns (each, officers, employees and agents (the a “Licensor IndemniteesIndemnitee”) against all Losses arising out of or resulting from and against any and all Indemnifiable Losses (as defined in the Separation Agreement) incurred or suffered by any of the Licensor Indemnitees and Action related to, arising out of, or due to, Licensee’s resulting from Licensee breach of this Agreement, or any representation, warranty, covenant covenant, or agreement hereunderobligation under this Agreement.

Licensee shall indemnify, defend and hold harmless Licensor, and each its directors, officers, employees, customers, affiliates, representatives, and agents from and against any Claims in connection with or arising out of (a) Licensee’s breach of any warranty, representation, covenants, or obligation contained in this Agreement and (b) the fraud, intentional misconduct, or gross negligence of Licensor or its directors, officers, employees and agents (the “Licensor Indemnitees”) from and against any and all Indemnifiable Losses (as defined in the Separation Agreement) incurred or suffered by any of the Licensor Indemnitees and arising out of, or due to, Licensee’s breach of this Agreement, or any representation, warranty, covenant or agreement hereunderagents.
