Common use of LICENSEE INDEMNIFIED PARTIES; BASIC INDEMNIFICATION Clause in Contracts

LICENSEE INDEMNIFIED PARTIES; BASIC INDEMNIFICATION. For purposes of this Section, "Licensee Indemnified Parties" refers to Licensee and officers, directors, employees and agents of Licensee. Licensor shall indemnify and hold harmless the Licensee Indemnified Parties and each of them from and against the cost and expenses (including, without limitation, reasonable attorneys' fees and costs) of any and all claims, suits, losses, damages, costs, demands, obligations, investigations, causes of action, and judgments arising out of any assertion or allegation by any persons, entities or government agencies that any Trademark infringes any trademark, trade name or any other personal or property right of a third party.
