Licensee Payments. In the event of termination in accordance with Article 17 above, Licensee shall pay to the Company (a) any Sales Royalty and Sales Fee then owed to it hereunder, (b) all Guaranteed Minimum Royalty and Guaranteed Minimum Fee due and payable and unpaid as of the date of termination, (c) the total Guaranteed Minimum Royalty and Guarantee Minimum Fee remaining unpaid for the balance of the term of this Agreement, and (d) an amount equal to any other actual damages the Company may have suffered on account of such termination or the acts or omissions from which it resulted.
Licensee Payments. Licensee will pay Licensor non-refundable payments according to the following schedule. Each payment will be payable as of the times specified below wherein payment will be due within 10 business days. The currency equivalent value in U.S. dollars specified in paragraph 4(a)(i) and 4(a)(ii) of the amounts actually received on such quantities, based on the rate of exchange quoted in the Wall Street Journal when payment becomes due, or on the immediately preceding business day if the Wall Street Journal does not publish such information when payment becomes due.
(i) The following payments become payable upon the following. These Milestone payments are not refundable against any future royalty and are payments for services in connection with performance under this Agreement.
(1) A payment of [ * ] becomes payable to Licensor 10 days after the end of a phase II clinical trial.
(2) A payment of [ * ] becomes payable to Licensor 10 days after the end of a phase III clinical trial.
(3) A payment of [ * ] becomes payable to Licensor 10 days after the approval of a New Drug Application or its Chinese equivalent.
Licensee Payments. In consideration for the rights herein granted to LICENSEE LICENSEE shall pay to NHLE the following:
(i) ROYALTY RATE: LICENSEE will pay NHLE at such times and under the circumstances specified hereinafter, a ROYALTY PAYMENT in amount equal to the Royalty Rate of ten percent (10%) or at NHLE's prevailing rate, whichever is greater, times NET SALES; All premium and incentive sales must be approved by NHLE at its sole discretion on a case-by-case basis; and
Licensee Payments. Except as expressly stated to the contrary herein, in consideration for the right to use the Licensed Premises in accordance with the terms hereof, Licensee agrees to pay to Licensor the License Fees and Pass-Through Expenses in addition to all other sums required by this Agreement to be paid by Licensee.

Except as disclosed on Section 4.17 of the Disclosure Schedules, all payments required to be paid by Licensee pursuant to the License Agreements for any period ending on or prior to the Closing Date have been paid in full as and when due, free and clear and without any deduction or set-off for or on account of any taxes (including withholding taxes) of any nature imposed by any Governmental Authority.
