Common use of Licensees/Affiliates Clause in Contracts

Licensees/Affiliates. Each Party may freely license the ADT Brand within its respective territory, provided that a Party is liable hereunder for any action or inaction by a licensee that would breach this Agreement if committed by a Party. Neither Party shall license or authorize a licensee to take any action that would violate this Agreement if committed by a Party. A Party’s obligations hereunder shall extend to its Affiliates as if they were Parties hereto.
