Common use of Licensee's Indemnification Clause in Contracts

Licensee's Indemnification. Licensee shall indemnify and hold harmless Programmer from and against any and all claims, losses, consents, liabilities, damages, FCC forfeitures and expenses (including reasonable legal fees and other expenses incidental thereto) of every kind, nature and description, arising out of Licensee's operations and broadcasts to the extent permitted by law and any action taken by the Licensee or its employees and agents with respect to the Station, or any failure by Licensee or its employees and agents to take any action with respect to the Station.

Licensee's Indemnification. Licensee shall indemnify and hold harmless Programmer from and against any and all claims, losses, consentscosts, liabilities, damages, FCC forfeitures and expenses (including reasonable legal fees and other expenses incidental thereto) of every kind, nature and description, arising out of Licensee's operations and broadcasts of programming other than the Programming to the extent permitted by law and any action taken by the Licensee or its employees and agents with respect to the Station, or any failure by Licensee or its employees and agents to take any action with respect to the Stationlaw.

Licensee shall indemnify and hold harmless Programmer from and against any and all claims, losses, consentscosts, liabilities, damages, expenses, including any FCC fines or forfeitures and expenses (including reasonable legal fees and other expenses incidental thereto) of every kind, nature and description, arising out of Licenseebroadcasts originated by Licensee pursuant to this Agreement (except insofar as such liability arises from Programmer's operations and broadcasts gross negligence or willful misconduct) to the extent permitted by law and any action taken by the Licensee or its employees and agents with respect to the Station, or any failure by Licensee or its employees and agents to take any action with respect to the Stationlaw.
