Common use of Licensee's Indemnification Clause in Contracts

Licensee's Indemnification. Licensee agrees to indemnify, defend and hold harmless the Licensor, its affiliates, employees, directors, agents, representatives, successors and assigns from and against any losses, liabilities, costs, damages, claims, fines, penalties and expenses including, without limitations, costs of defense or settlement and reasonable attorney's, consultant's, and expert's fees that arise out of or result from any breach of representation or warranty by Licensee to perform its obligations under this Agreement.

Licensee's Indemnification. Licensee agrees to Licensees shall indemnify, defend defend, and hold harmless the LicensorLicensors and their directors, its affiliatesofficers, agents, employees, directorsmembers, agentssubsidiaries and successors in interest from any claim, representativesliability and expense, successors including reasonable attorneys' fees, arising out of Licensee's exceeding the scope of the License and assigns from and against any losses, liabilities, costs, damages, claims, fines, penalties and expenses the permissions granted hereunder with respect to Licensees' use of the OEM Software including, without limitationsbut not limited to, costs Licensees' continuing to use the OEM Software beyond the Term of defense or settlement and reasonable attorney's, consultant's, and expert's fees that arise out of or result from any breach of representation or warranty by Licensee to perform its obligations under this Agreement.

Licensee's Indemnification. Licensee agrees to indemnifydefend, defend indemnify and hold harmless the Licensor, its affiliatesofficers, directors, shareholders, employees, directors, agents, legal representatives, successors and assigns harmless of, from and against any lossesloss, liabilitiesclaim, costsdamage, damagesliability, claims, fines, penalties and expenses including, without limitations, costs penalty or other cost or expense (including reasonable attorneys’ fees) incurred or sustained at any time by any of defense or settlement and reasonable attorney's, consultant's, and expert's fees that arise out them on account of or result from relating to any breach of representation or warranty service rendered by Licensee to perform under or in connection with the Marks or the breach by Licensee of any of its representations, warranties, covenants, duties or obligations under this Agreement.

Licensee's Indemnification. Licensee agrees to indemnify, shall indemnify and defend and hold harmless the Licensor, its affiliates, employees, directors, agents, representatives, successors and assigns from and licensor against any losses, liabilitiesall claims, costs, proceedings, demands, losses, damages, claims, fines, penalties expenses (including reasonable outside legal and expenses including, without limitations, costs other professional expenses) and/or liabilities whatsoever arising directly or indirectly as a result of defense or settlement and reasonable attorney's, consultant's, and expert's fees that arise out of or result from any breach of representation any of the Licensee’s undertakings, warranties or warranty by Licensee to perform its obligations under this AgreementAgreement and/or as a result of the development, production, transmission, distribution and/or other exploitation of the Picture or any element thereof.

Licensee's Indemnification. Licensee hereby agrees to indemnifybe solely responsible for, to defend and hold harmless the Licensorindemnify Licensor and its respective officers, its affiliates, agents and employees, directorsand to hold each of them harmless from, agentsany claims, representativesdemands, successors and assigns from and against any lossescauses of action, liabilities, costs, or damages, claims, fines, penalties and expenses including, without limitations, costs of defense or settlement and including reasonable attorney's’s fees, consultant's, and expert's fees that arise arising out of the distribution or result from any breach use of representation or warranty by Licensee to perform its obligations under this Agreementthe Goods.

Licensee's Indemnification.
