Licensee’s Representative. A third party appointed by the Licensee to act on the Licensee’s behalf, with notice to the Licensor, who may execute this License on behalf of the Licensee and undertake specific and defined portions of the Licensee’s obligations under this License, as agreed to between the Licensee and the Licensee’s Representative including, but not limited to, those parties listed below. In this License, the COU Holding Association Inc. shall be authorized to execute and administer the Business Terms of the License Agreement as defined in Schedule 1 on behalf of the Licensee as Licensee’s Representative. Where Appendix 1 is appended to the License for the purposes of Local Archiving and Hosting of the Licensed Materials, the University of Toronto Libraries shall be authorized to execute and administer the provisions and terms of the Appendix on behalf of the Licensee.
Licensee’s Representative. A representative of LICENSEE approved by Director or his designee shall remain on the premises during the term hereof and until performers and the public have left the premises.
Licensee’s Representative. The Licensee hereby designates and appoints (the “Licensee’s Representative”), as the sole person with authority to communicate with the Licensor regarding any issues that may arise under this License. Licensee may change the Licensee’s Representative upon prior written notice to the Licensor.
Licensee’s Representative. If Item 15 of the Special Conditions specifies a Licensee’s Representative, the Licensee shall provide the Licensee’s Representative with all the authority necessary to receive communications and act on the Licensee’s behalf under this Agreement.

Whenever direction to or communication with Licensee is required by this Agreement, such direction or communication shall be directed to Licensee’s Representative; provided, however, that in exigent circumstances when Licensee’s Representative is not available, the City may direct its direction or communication to other designated employees or agents of Licensee.
Licensee’s Representative. (a) The Licensee must ensure that at all times a natural person is appointed as its representative for all purposes under the Act, the Licence and this Related Agreement. At the Agreement Date, the Licensee has appointed the person named, or the person holding the position nominated, in Schedule 1. (b) Any communications with or information given to the Licensee’s Representative by or on behalf of the Minister will be deemed to be made or given to the Licensee. The address for service on the Licensee’s Representative is the same as the address for service of Notices on the Licensee under clause 27(b). (c) The Licensee may revoke the authority or appointment of the Licensee’s Representative at any time by giving notice to the Minister provided that it appoints another natural person as an alternative or substitute Licensee’s Representative by giving notice to the Minister.
