Common use of Licenses from Customer Clause in Contracts

Licenses from Customer. Subject to the terms and conditions of this Agreement, Customer grants to Vendor and its Third Party Vendors the non-exclusive, nontransferable worldwide right to copy, store, record, transmit, display, view, print or otherwise use (a) Customer Data solely to the extent necessary to provide the Service and SaaS Materials to Customer, and (b) any trademarks that Customer provides Vendor for the purpose of including them in Customer’s user interface of the Service (“Customer Trademarks”). Customer acknowledges and agrees that Customer Data and information regarding Customer and Customer’s Users that is provided to Vendor and its Third Party Vendors in connection with this Agreement may be (a) processed by Vendor and its Third Party Vendors to the extent necessary to provide the Service and (b) transferred outside of the country or any other jurisdiction where Customer and Customer’s Users are located. In addition, Customer acknowledges and agrees that it is Customer’s obligation to inform Customer’s Users and customers of the processing of Customer Data and information regarding Customer and Customer’s Users pursuant to this Agreement and to ensure that such Users and customers have given any necessary consent to such processing as required by all applicable data protection legislation. Customer shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness and copyright of all Customer Data and information regarding Customer and Customer’s Users. Customer agrees that the license to the Customer Data shall survive termination of this Agreement solely for the purpose of storing backup Customer Data in accordance with the terms of this Agreement. By providing Customer with the Services, Vendor does not acquire any right, title and/or interest in the content material (including but not limited to text, Customer-provided software, scripts, trademarks, logos, HTML coding, domain names, links, graphics, audio, video, and any data) that Customer makes available for use by Users by means of the Services (collectively “Content”). Except as expressly set forth in the Schedules as being the responsibility of Vendor, Customer is solely responsible for all Content.

Xovis’ permission to use of Sensor Data is specified in section 13.4 Customer acknowledges and agrees that Customer Data, Sensor Data and information regarding Customer and Customer’s Users 's Tenant that is provided to Vendor and its Third Party Vendors Xovis in connection with this Agreement Customer’s Subscription may be (a) be a. processed by Vendor Xovis and its Third Party Vendors subcontractors to the extent necessary to provide the Service and (b) Xovis Flow Service, b. used for other purposes solely to the extent permitted as per the terms of Customer’s Subscription, and c. transferred outside of the country or any other jurisdiction where Customer and Customer’s Users are located. In addition, Customer acknowledges and agrees that it is located (subject to the terms of Customer’s obligation Subscription). The use of Personal Data is subject to inform Customer’s Users and customers of the processing of Customer Data and information regarding Customer and Customer’s Users pursuant to this Agreement and to ensure that such Users and customers have given any necessary consent to such processing as required by all applicable data protection legislationsection 16. Customer shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness and copyright of all Customer Data and information regarding Customer and Customer’s UsersData. Customer agrees that the license to the Customer Data shall survive termination of this Agreement solely Customer’s Subscription for the purpose of storing backup Customer Data in accordance with the terms of this AgreementCustomer’s Subscription and applicable Law. By providing Xovis is and shall be entitled to perpetually (i.e. also post termination of Customer’s Subscription) and at no charge to Customer with (a) compile statistical and other information related to the Servicesperformance, Vendor does not acquire any right, title and/or interest in operation and use of the content material (including but not limited to text, Customer-provided software, scripts, trademarks, logos, HTML coding, domain names, links, graphics, audio, videoXovis Flow Service, and any data(b) that Customer makes available use Sensor Data from the Xovis Flow Service in aggregated form to improve the Xovis Flow Service, for use by Users by means of the Services security and operations management, to create statistical analyses, and for research and development and information purposes (clauses (a) and (b) are collectively referred to as “ContentService Analyses”). Except Xovis may make such Service Analyses available to third parties (such as expressly set forth other Xovis customers) and shall also be permitted to, at its option, monetarize such data and Service Analyses. However, Service Analyses will not incorporate Personal Data, Sensor Data or Confidential Information in a form that could serve to identify Customer, Users, or any other individual or entity. For the Schedules as being avoidance of doubt, Xovis shall retain all intellectual property rights in Service Analyses and the responsibility of Vendor, Customer is solely responsible data sets created for all Contentsuch Service Analyses.
