Licenses, Permits, Consents, Etc. THI shall have received evidence, in form and substance reasonably satisfactory to counsel for THI, that such licenses, permits, consents, approvals, authorizations or orders of governmental authorities as are necessary to the consummation of the transactions contemplated by this Agreement and the continued operation of the business of DE have been obtained.
