Common use of Licensor and Distributor Clause in Contracts

Licensor and Distributor. agree (i) that this Amendment and the Original Written Agreement shall together constitute one agreement which is the complete exclusive statement thereof between the parties and (ii) that together they supersede and merge all prior proposals and understandings and all other agreements, whether oral or written, between the parties relating to the subject matter hereof. To the extent the Original Written Agreement is not modified or amended by this Amendment, it is by this reference, expressly incorporated herein as if set forth in full. Neither the Amendment nor the Original Written Agreement may be modified or altered except by written instrument duly executed by the parties hereto.
