Common use of Licensor Indemnification Clause in Contracts

Licensor Indemnification. Licensor will indemnify, defend, and hold harmless Licensee, its officers, directors, employees, agents, affiliates, and other representatives from and against any and all losses incurred by Licensee arising from any third-party action, suit, or claim that alleges the Licensed Software, or any use of the Licensed Software in accordance with this Agreement, infringes any Intellectual Property Rights.

Licensor Indemnification. Licensor will shall indemnify, defend, and hold harmless Licensee and its Affiliates, and each of Licensee, ’s and its Affiliates’ respective officers, directors, employees, agents, affiliatessuccessors, and other representatives assigns against all Losses arising out of or resulting from and against any and all losses incurred Action related to or arising out of or resulting from (a) Licensor’s breach of any representation, warranty, covenant, or obligation under this Agreement, or (b) use by Licensee arising from of any third-party action, suit, Updates or claim that alleges the Licensed Software, or any use of the Licensed Software Improvements in accordance with the terms of this Agreement, infringes any Intellectual Property Rights.

Licensor Indemnification. Licensor will indemnifyagrees to, defendand does hereby, indemnify and hold harmless Licensee, its officers, directors, employees, agents, affiliates, and other representatives Licensee from and against any and all losses incurred claims, demands, or actions alleging that the Software, including any Enhancements, in the form delivered by Licensee arising from Licensor, infringes or abridges any third-party actionrights in copyright, suittrade secret, or claim that alleges the Licensed Software, or any use of the Licensed Software in accordance with this Agreement, infringes any Intellectual Property Rightsother intellectual property rights.
