Common use of Lien Search Clause in Contracts

Lien Search. The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation and tax matters), in form and substance reasonably satisfactory thereto, made against each of the Credit Parties (other than the U.S. Borrower) under the PPSA and the CCQ (or applicable judicial docket) as in effect in any province in which any of the assets of such Credit Party are located, indicating among other things that its assets are free and clear of any Lien except for Permitted Liens.

Lien Search. The Administrative Agent shall have received the results of a customary Lien search searches (including UCC and PPSA searches and a search as to judgmentsbankruptcy, pending litigation tax and tax mattersintellectual property matters as applicable), in form and substance reasonably satisfactory thereto, made against each of the Credit Parties (other than the U.S. Borrower) under the PPSA and the CCQ (or applicable judicial docket) as in effect in any province in which any of the assets of such Credit Party are locatedParties, indicating among other things that its the assets of each such Credit Party are free and clear of any Lien (except for Permitted Liens).

The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation litigation, bankruptcy and tax matters), in form and substance reasonably satisfactory thereto, ) made against each of the Credit Parties (other than the U.S. Borrower) under the PPSA and the CCQ (or applicable judicial docket) as in effect in any province in which any of the assets of such Credit Party are locatedas deemed necessary by the Administrative Agent, indicating among other things that its assets are free and clear of any Lien except for Permitted LiensLiens permitted hereunder.

The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation litigation, bankruptcy, tax and tax intellectual property matters), in form and substance reasonably satisfactory thereto, made against each of the Credit Parties (other than the U.S. Borrower) under the PPSA and the CCQ UCC (or applicable judicial docket) as in effect in any province each jurisdiction in which any of filings or recordations under the UCC should be made to evidence or perfect security interests in all assets of such Credit Party are locatedParty, indicating among other things that its the assets of each such Credit Party are free and clear of any Lien (except for Permitted Liens).

The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation and tax matters), in form and substance reasonably satisfactory thereto, made against each of the Credit Parties (other than the U.S. Borrower) and DG III under the PPSA and the CCQ Uniform Commercial Code (or applicable judicial docket) as in effect in any province state in which any of the assets of such Credit Party Person are located, indicating among other things that its assets are free and clear of any Lien except for Permitted Liens.

The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation and tax matters), in form and substance reasonably satisfactory thereto, made against each of the Credit Parties (other than the U.S. Borrower) under the PPSA and the CCQ Uniform Commercial Code (or applicable judicial docket) as in effect in any province state in which any of the material assets of such Credit Party are located, indicating among other things that its assets are free and clear of any Lien except for Permitted Liens.

The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation and tax matters), in form and substance reasonably satisfactory thereto, ) made against each of the Credit Loan Parties (other than the U.S. Borrower) under the PPSA and the CCQ UCC (or applicable judicial docket) as in effect in any province state in which any of the its assets of such Credit Party are located, indicating among other things that its assets are free and clear of any Lien except for Permitted LiensLiens permitted hereunder.

The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation and tax matters), in form and substance reasonably satisfactory thereto, made against each of the Credit Parties (other than the U.S. Borrower) under the PPSA and the CCQ in any Uniform Commercial Code filings office (or applicable judicial docket) as in effect in any province state in which the jurisdiction of incorporation or any of the assets of such Credit Party are located, indicating among other things that its assets are free and clear of any Lien except for Permitted Liens.

The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation and tax mattersmatters and intellectual property), in form and substance reasonably satisfactory thereto, made against each of the Credit Parties (other than the U.S. Borrower) under the PPSA and the CCQ in any Uniform Commercial Code filings office (or applicable judicial docket) as in effect in any province state in which the jurisdiction of incorporation or any of the assets of such Credit Party are located, indicating among other things that its assets are free and clear of any Lien except for Permitted Liens.

Lien Search. The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation and tax matters), in form and substance reasonably satisfactory thereto, made against each of the Credit Parties (other than the U.S. Borrower) under the PPSA and the CCQ Uniform Commercial Code (or applicable judicial docket) as in effect in any province state in which any of the assets of such Credit Party are locatedis incorporated or in any other location reasonably requested by the Administrative Agent, indicating among other things that its assets are free and clear of any Lien except for Permitted Liens.
