Common use of Lien Search Clause in Contracts

Lien Search. The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation, bankruptcy, tax and intellectual property matters), in form and substance reasonably satisfactory thereto, made against the Credit Parties under the Uniform Commercial Code (or applicable judicial docket or other applicable statutes in other jurisdictions) as in effect in each jurisdiction in which filings or recordations under the Uniform Commercial Code (or other applicable statutes in other jurisdictions) should be made to evidence or perfect security interests in all assets of such Credit Party, indicating among other things that the assets of each such Credit Party are free and clear of any Lien (except for Permitted Liens).

The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation, bankruptcy, tax and and, to the extent requested by the Administrative Agent, intellectual property matters), in form and substance reasonably satisfactory thereto, made against the Credit Parties under the Uniform Commercial Code (or applicable judicial docket or other applicable statutes in other jurisdictionsdocket) as in effect in each jurisdiction in which filings or recordations under the Uniform Commercial Code (or other applicable statutes in other jurisdictions) should be made to evidence or perfect security interests in all assets of such Credit Party, indicating among other things that the assets of each such Credit Party are free and clear of any Lien (except for Permitted Liens).

The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation, bankruptcy, tax and intellectual property matters), in form and substance reasonably satisfactory thereto, made against the Credit Loan Parties under the Uniform Commercial Code (or applicable judicial docket docket) or other applicable statutes in other jurisdictions) PPSA, as applicable, as in effect in each jurisdiction in which filings or recordations under the Uniform Commercial Code (or other applicable statutes in other jurisdictions) PPSA, as applicable, should be made to evidence or perfect security interests in all assets of such Credit Loan Party, indicating among other things that the assets of each such Credit Loan Party are free and clear of any Lien (except for Permitted Liens).

The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation, bankruptcy, bankruptcy and tax and intellectual property mattersliens), in form and substance reasonably satisfactory thereto, made against the Legacy Gathering System and the Credit Parties under the Uniform Commercial Code (or applicable judicial docket or other applicable statutes in other jurisdictionsdocket) as in effect in each jurisdiction in which filings or recordations under the Uniform Commercial Code (or other applicable statutes in other jurisdictions) should be made to evidence or perfect security interests in all the Legacy Gathering System or the assets of such Credit Party, indicating among other things that the Legacy Gathering System and the assets of each such Credit Party are free and clear of any Lien (except for Permitted LiensLiens and Liens to be released on the Closing Date).

The Administrative Agent shall have received the results of a Lien search (including a search as to judgments, pending litigation, bankruptcy, tax (where applicable) and intellectual property matters), in form and substance reasonably satisfactory thereto, made against the Credit Parties under the Uniform Commercial Code and the PPSA (or applicable judicial docket or other applicable statutes in other jurisdictionsdocket) as in effect in each jurisdiction in which filings or recordations under the Uniform Commercial Code (or other applicable statutes in other jurisdictions) and the PPSA should be made to evidence or perfect security interests in all assets (excluding real estate) of such Credit Party, indicating among other things that the assets of each such Credit Party are free and clear of any Lien (except for Permitted Liens).
