Common use of Lien Searches and UCC Termination Statements Clause in Contracts

Lien Searches and UCC Termination Statements. Delivery to Collateral Agent of (a) the results of a recent search, by a Person satisfactory to Collateral Agent, of all effective UCC financing statements and fixture filings which may have been made with respect to any personal or mixed property of any Company or any Domestic Subsidiary that is a Loan Party, together with copies of all such filings disclosed by such search, and (b) UCC termination statements for filing in all applicable jurisdictions as may be necessary to terminate any effective UCC financing statements or fixture filings disclosed in such search (other than any such financing statements or fixture filings in respect of Liens created by the Collateral Documents or otherwise permitted to remain outstanding pursuant to the terms of this Agreement).

Delivery to Collateral Administrative Agent of (a) the results of a recent search, by a Person reasonably satisfactory to Collateral Administrative Agent, of all effective UCC financing statements and fixture filings and all judgment and tax lien filings which may have been made with respect to any personal or mixed property of any Company or any Domestic Subsidiary that is a Loan Party, together with copies of all such filings disclosed by such search, and (b) authorization to file UCC termination statements for filing in all applicable jurisdictions as may be necessary to terminate any effective UCC financing statements or fixture filings disclosed in such search (other than any such financing statements or fixture filings in respect of Liens created by the Collateral Documents or otherwise permitted to remain outstanding pursuant to the terms of this Agreement).;

Delivery to Collateral Administrative Agent of (a) the results of a recent search, by a Person satisfactory to Collateral Agent, search of all effective UCC financing statements and fixture filings which may have been made with respect to any personal or mixed property of any Company or any Domestic Subsidiary that is a Loan Party, together with copies of all such filings disclosed by such search, and (b) copies of duly completed UCC termination statements for filing in all statements, and authorization from the applicable jurisdictions secured party of the First Lien Agent to file such termination statements, as may be necessary to terminate any effective UCC financing statements or fixture filings disclosed in such search (other than any such financing statements or fixture filings in respect of Liens created by the Collateral Documents or otherwise permitted to remain outstanding pursuant to the terms of this Agreement or the First Lien Credit Agreement).;

Delivery to Collateral the Administrative Agent of (a) the results of a recent searchsearches, by a Person one or more Persons satisfactory to Collateral the Administrative Agent, of all effective with respect to UCC financing statements and fixture judgment and tax lien filings which may have been made with respect to any personal or mixed property of any Company or any Domestic Subsidiary that is a Loan Partythe Credit Parties, together with copies of all such filings disclosed by such search, and (b) UCC termination statements for filing in all applicable jurisdictions as may be necessary to terminate any effective UCC financing statements or fixture filings disclosed in such search encumbering the assets of the Credit Parties (other than any such financing statements or fixture filings in respect of Liens created by the Collateral Documents or otherwise permitted to remain outstanding pursuant to the terms of this the Credit Agreement).
