Common use of Lien Searches and UCC Termination Statements Clause in Contracts

Lien Searches and UCC Termination Statements. Delivery to Collateral Agent of (a) the results of a recent search, by a Person satisfactory to Collateral Agent, of all effective UCC financing statements and fixture filings and all judgment and tax lien filings which may have been made with respect to any personal or mixed property of any Borrower and of all effective UCC financing statements which may have been made with respect to Capital Stock of Company, in each case, together with copies of all such filings disclosed by such search, and (b) UCC termination statements duly executed by all applicable Persons for filing in all applicable jurisdictions as may be necessary to terminate any effective UCC financing statements or fixture filings disclosed in such search (other than any such financing statements or fixture filings in respect of Liens permitted to remain outstanding pursuant to the terms of this Agreement);

Delivery to Collateral Agent Laurus of (aA) the results of a recent searchsearches, by a Person one or more Persons satisfactory to Collateral AgentLaurus, of all effective Liens filed with the FAA, UCC financing statements and fixture filings and all judgment and tax lien filings which may have been made with respect to any personal or mixed property of any Borrower and of all effective UCC financing statements which may have been made with respect to Capital Stock of Company, in each casethe Companies, together with copies of all such filings disclosed by such search, and (bB) terminations of Liens filed with the FAA duly executed by all applicable Persons for filing with the FAA and UCC termination statements duly executed by all applicable Persons for filing in all applicable jurisdictions as may be necessary to terminate any effective UCC financing statements or fixture filings disclosed in such search (other than any such financing statements or fixture filings in respect of Liens permitted to remain outstanding pursuant to the terms of this Agreement);

Delivery to Collateral Administrative Agent of (a) all lien searches conducted in connection with the Existing Credit Agreement, (b) the results of a recent search, by a Person satisfactory to Collateral Administrative Agent, of all effective UCC financing statements and fixture filings and all judgment and tax lien filings which may have been made with respect to any personal or mixed property of any Borrower and Loan Party in its state of all effective UCC financing statements which may have been made incorporation since the date of the prior lien searches conducted in such jurisdictions in connection with respect to Capital Stock of Company, in each casethe Existing Credit Agreement, together with copies of all such filings disclosed by such search, and (bc) UCC termination statements duly executed (if required) or authorized by all applicable Persons for filing in all applicable jurisdictions as may be necessary to terminate any effective UCC financing statements or fixture filings disclosed in such search (other than any such financing statements or fixture filings in respect of Liens permitted to remain outstanding pursuant to the terms of this Agreement);.

Delivery to Collateral the Administrative Agent of (aA) the results of a recent searchsearches, by a Person one or more Persons satisfactory to Collateral the Administrative Agent, of all effective UCC financing statements and fixture filings and all judgment and tax lien filings which may have been made with respect to any personal or mixed property of any Borrower and of all effective UCC financing statements which may have been made with respect to Capital Stock of Company, in each casethe El Dorado Sellers or the Guajillo Sellers, together with copies of all such filings disclosed by such search, and (bB) to the extent any of the El Dorado Acquisitions or the Guajillo Acquisitions are being consummated on the Closing Date, UCC termination statements duly executed by all applicable Persons for filing in all applicable jurisdictions as may be necessary to terminate any effective UCC financing statements or fixture filings encumbering the assets being acquired in each such Acquisition disclosed in such search (other than any such financing statements or fixture filings in respect of Liens permitted to remain outstanding pursuant to the terms of this Agreement);
