Common use of Lien Searches and UCC Termination Statements Clause in Contracts

Lien Searches and UCC Termination Statements. Delivery to the Security Agent of (A) the results of a recent search of all effective UCC financing statements and all judgment and tax Lien filings which may have been made with respect to all of the Collateral, together with copies of all such filings disclosed by such search and (B) duly completed UCC termination statements, and authorization of the filing thereof from the applicable secured party, as may be necessary to terminate any effective UCC financing statements disclosed in such search (other than any such financing statements in respect of Liens permitted to remain outstanding pursuant to the terms of this Agreement;

Delivery to the Security Administrative Agent of (Aa) the results of a recent search search, by a Person satisfactory to Administrative Agent, of all effective UCC financing statements and all judgment and tax Lien filings which may have been made with respect to all any personal property of the Collateralany Loan Party, together with copies of all such filings disclosed by such search search, and (Bb) duly completed UCC termination statements, and authorization of the statements duly executed by all applicable Persons for filing thereof from the in all applicable secured party, jurisdictions as may be necessary to terminate any effective UCC financing statements disclosed in such search (other than any such financing statements in respect of Liens permitted to remain outstanding pursuant to the terms of this Agreement;).
