Common use of Lien Searches; Lien Perfection Clause in Contracts

Lien Searches; Lien Perfection. (i) The Administrative Agent ------------------------------ shall have received the results of a search of Uniform Commercial Code, tax and judgment filings made with respect to each of the Company and its Subsidiaries in the jurisdictions set forth on Schedule 4.15(a), together with copies of financing statements disclosed by such searches, and such searches shall disclose no Liens on any assets encumbered by any Security Document, except for Liens permitted hereunder or, if unpermitted Liens are disclosed, the Administrative Agent shall have received satisfactory evidence of the release of such Liens and (ii) the Administrative Agent shall have received duly executed financing statements on Form UCC-1, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents.

(i) The Administrative Agent ------------------------------ shall have received the results of a search of Uniform Commercial Code, tax and judgment filings made with respect to each of the Company Borrower and its Subsidiaries in the jurisdictions set forth on Schedule 4.15(a6.15(b), together with copies of financing statements disclosed by such searches, searches and such searches shall disclose no Liens on any assets encumbered by any Security Document, except for Liens permitted hereunder or, if unpermitted Liens are disclosed, the Administrative Agent shall have received satisfactory evidence of the release of such Liens and (ii) the Administrative Agent shall have received duly executed financing statements on Form UCC-1, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents.

(i) The Administrative Agent ------------------------------ shall have received the results of a search searches of Uniform Commercial Code, PPSA, tax and judgment filings made with respect to each of the Company and its Subsidiaries subsidiaries in the jurisdictions set forth on Schedule 4.15(a6.15(b), together with copies of financing statements disclosed by such searches, searches and such searches shall disclose no Liens on any assets encumbered by any Security Document, except for Liens permitted hereunder or, if unpermitted Liens are disclosed, the Administrative Agent shall have received satisfactory evidence of the release of such Liens and (ii) the Administrative Agent shall have received duly executed financing statements on Form UCC-1UCC-1 and verification statements under the PPSA, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents.

(i) The Administrative Agent ------------------------------ shall have received the results of a search of Uniform Commercial Code, tax and judgment filings made with respect to each of the Company Holdings and its Subsidiaries in each of the jurisdictions set forth on Schedule 4.15(a)reasonably requested by the Co-Arrangers, together with copies of financing statements disclosed by such searches, searches and such searches shall disclose no Liens on any assets encumbered by any Security Document, except for Liens permitted hereunder or, if unpermitted Liens are disclosed, the Administrative Agent shall have received satisfactory evidence of the release of such Liens and (ii) the Administrative Agent shall have received duly executed financing statements on Form UCC-1, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents.

(i) The Administrative Agent ------------------------------ shall have received substantially all the results of a search of Uniform Commercial Code, tax and judgment filings made with respect to each of the Company and its Subsidiaries in each of the relevant jurisdictions set forth on Schedule 4.15(a)with respect to the Company and its Subsidiaries, together with copies of financing statements disclosed by such searches, searches and such searches shall disclose no Liens on any assets encumbered by any Security Document, except for Liens permitted hereunder or, if unpermitted Liens are disclosed, the Administrative Agent shall have received satisfactory evidence of the release of such Liens and (ii) the Administrative Agent shall have received duly executed financing statements on Form UCC-1, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents.

Lien Searches; Lien Perfection. (i) The Administrative Agent ------------------------------ Arrangers shall have received substantially all the results of a search of Uniform Commercial Code, tax and judgment filings recent lien searches made with respect to each of Holdings, the Company and its Subsidiaries in each of the relevant jurisdictions set forth on Schedule 4.15(a)with respect to Holdings, the Company and its Subsidiaries, together with copies of financing statements disclosed by such searches, searches and such searches shall disclose no Liens on any assets encumbered by any Security Document, except for Permitted Liens permitted hereunder or, if unpermitted Liens other than Permitted Liens are disclosed, the Administrative Agent shall have received satisfactory evidence of the release of such Liens and (ii) the Administrative Agent shall have received duly executed financing statements on Form UCC-1UCC-1 and each other document, necessary or, in the opinion of the Administrative Agent, desirable to perfect the Liens created by the Security Documents.
