Common use of Liens Unimpaired Clause in Contracts

Liens Unimpaired. After giving effect to this Amendment and the transactions contemplated hereby, neither the modification of the Credit Agreement effected pursuant to this Amendment nor the execution, delivery, performance or effectiveness of this Amendment (i) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or (ii) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such Liens.

Liens Unimpaired. After giving effect to this Amendment and the transactions contemplated hereby, neither the modification of the Credit Agreement effected pursuant to this Amendment nor the execution, delivery, performance or effectiveness of this Amendment (i) impairs the validity, enforceability, effectiveness or priority of any of the Liens granted pursuant to any Loan Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or (ii) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such Liens.

After giving effect to this Amendment and the transactions contemplated herebyNo. 1, neither the modification of the Credit Agreement effected pursuant to this Amendment No. 1 nor the execution, delivery, performance or effectiveness of this Amendment No. 1: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such Liens.

After giving effect to this Amendment and Amendment, none of the transactions contemplated hereby, neither the modification modifications of the Credit Agreement or the Foreign Guarantee Agreement effected pursuant to this Amendment nor and the execution, delivery, performance or effectiveness of this Amendment Amendment: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Document, and such Liens continue unimpaired with the same priority to secure repayment of all Secured Obligations, whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such Liens.

After giving effect to this Amendment and the transactions contemplated herebyIncremental Amendment, neither the modification of the Credit Agreement effected pursuant to this Incremental Amendment nor the execution, delivery, performance or effectiveness of this Amendment Incremental Amendment: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Financing Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such LiensLiens other than any actions contemplated in Section 9 herein.

After giving effect to this Amendment and the transactions contemplated herebyIncremental Amendment, neither the modification of the Credit Agreement effected pursuant to this Incremental Amendment nor the execution, delivery, performance or effectiveness of this Amendment Incremental Amendment: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Financing Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such Liens.

After giving effect to this Amendment and the transactions contemplated herebyAmendment, neither the modification of the Fifth Amended and Restated Credit Agreement effected pursuant to this Amendment nor the execution, delivery, performance or effectiveness of this Amendment Amendment: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan DocumentCredit Document prior to the Effective Date, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such Liens.

Liens Unimpaired. After giving effect to this Amendment and the transactions contemplated herebyAmendment, neither the modification of the Second Amended and Restated Credit Agreement effected pursuant to this Amendment nor the execution, delivery, performance or effectiveness of this Amendment Amendment: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Credit Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or (b) except as shall have been made or (ii) taken on or prior to the Effective Date requires that any new filings be made or other action taken to perfect or to maintain the perfection of such Liens.

Liens Unimpaired. After giving effect to this Amendment and the transactions contemplated herebyAmendment, neither the modification of the Credit Agreement effected pursuant to this Amendment nor the execution, delivery, performance or effectiveness of this Amendment Amendment: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan DocumentCredit Document prior to the Amendment No. 6 Effective Date, and such Liens continue unimpaired with the same priority to secure repayment of all ObligationsObligations (including, without limitation, the Term B-1 Dollar Loans and the Term B-2 Dollar Loans), whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such Liens.

After giving effect to this Amendment and the transactions contemplated herebyAmendment, neither the modification of the Original Credit Agreement effected pursuant to this Amendment nor the execution, delivery, performance or effectiveness of this Amendment Amendment: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Financing Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such Liens.

After giving effect to this Amendment and the transactions contemplated herebyAmendment, neither the modification of the Credit Agreement effected pursuant to this Amendment nor the execution, delivery, performance or effectiveness of this Amendment Amendment: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Financing Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such LiensLiens other than any actions contemplated in Section 6 herein.

After giving effect to this Amendment and the transactions contemplated hereby, neither the modification of the Credit Agreement effected pursuant to this Amendment nor the execution, delivery, performance or effectiveness of this Amendment (i) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or (ii) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such Liens.

After It is the intention of the parties hereto that, after giving effect to this Amendment and the transactions contemplated herebyAmendment, neither the modification of the Credit Agreement effected pursuant to this Amendment nor the execution, delivery, performance or effectiveness of this Amendment Amendment: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Fundamental Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such Liens.

Liens Unimpaired. After giving effect to this Amendment and the transactions contemplated herebyAmendment, neither the modification of the Original Credit Agreement effected pursuant to this Amendment nor the execution, delivery, performance or effectiveness of this Amendment Amendment (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan DocumentDocument (as such term is defined in the Original Credit Agreement), and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such LiensLiens other than the actions required by Section 7.1.11 of the Second Amended and Restated Credit Agreement.

After giving effect to this Incremental Amendment and the transactions contemplated herebyNo. 3, neither the modification of the Credit Agreement effected pursuant to this Incremental Amendment No. 3 nor the execution, delivery, performance or effectiveness of this Incremental Amendment No. 3: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other new action taken to perfect or to maintain the perfection of such Liens.

After giving effect to this Incremental Amendment and the transactions contemplated herebyNo. 2, neither the modification of the Credit Agreement effected pursuant to this Incremental Amendment No. 2 nor the execution, delivery, performance or effectiveness of this Incremental Amendment No. 2: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other new action taken to perfect or to maintain the perfection of such Liens.

After giving effect to this Amendment and the transactions contemplated herebyAmendment, neither the modification of the Credit Agreement effected pursuant to this Amendment nor the execution, delivery, performance or effectiveness of this Amendment Amendment: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Financing Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or or (iib) requires that any new filings be made or other action taken to perfect or to maintain the perfection of such LiensLiens other than any actions contemplated in Section 8 herein.

After giving effect to this Amendment and the transactions contemplated herebyAmendment, neither the modification of the Credit Agreement effected pursuant to this Amendment nor the execution, delivery, performance or effectiveness of this Amendment Amendment: (ia) impairs the validity, effectiveness or priority of the Liens granted pursuant to any Loan Document, and such Liens continue unimpaired with the same priority to secure repayment of all Obligations, whether heretofore or hereafter incurred; or or (iib) except as contemplated by Section 10 hereof, requires that any new filings be made or other action taken to perfect or to maintain the perfection of such Liens.
