Limit on Maturity of Certificates. A list of the assets included in the Financed Facilities and a computation of the “average reasonably expected economic life” is attached to this Tax Agreement as Exhibit C. Based on this computation, the “average maturity” of the Certificates of 5.4655 years, as computed by Special Tax Counsel, does not exceed 120% of the average reasonably expected economic life of the Financed Facilities.
